By Laws
Oconomowoc Area Baseball Club, Inc.
 
FIRST - Purpose
The purpose shall be to engage in any lawful activity authorized by Chapter 181 of the Wisconsin Statutes. The Primary focus is to enhance the baseball program in the Oconomowoc School District area as directed in the Bylaws. The corporation shall not conduct or carry on any activities not permitted to be conducted by an organization exempt under section 501C (3) of the Internal Revenue Code.

The organization will work with the Oconomowoc Parks & Recreation Department utilizing the Baseball Agreement (See attached) submitted to the OPRD board meeting on November 10, 1997.
 
SECOND - Membership
Any parent of any participating youth or any participating player 18 years or older. No fees will be required for membership.
 
THIRD - Management
The basic rules for the management of the organization shall be set forth by the by-laws. The Board of Directors will be responsible for the implementation of guidelines.
 
FOURTH - Principal Funds
The organization will raise funds to be used in the administration of the duties and purpose of the organization.
 
FIFTH - Meetings
An annual meeting will be held during the off-season in September. Minutes of the meeting will be distributed to the members filed in the corporation records. Regular meetings will be held during the year. The Oconomowoc Parts and Recreation Department will be notified of all meetings and invited to send a representative to serve as a liaison between the organizations.
 
SIXTH - Board of Directors
A governing board of directors will include the officers and up to 25 at-large members. Members will be required to attend 9 of the 12 monthly meetings (October - September) unless excused by an officer.
 
SEVENTH - Duties of Elected Officers
Officers including a President, Vice-President, Secretary, and a Treasurer will be elected by members at the annual meeting in September to two year terms.

EIGHTH - Committees
Committees will be assigned specific duties, as determined by the board of directors.

TENTH - Amendments
Amendments to the by-laws will require a majority of the members at the annual meeting.
 
ELEVENTH - Dissolution
Upon the dissolution of the corporation, the Board of Directors shall, after paying or making provisions for the payment of all the liabilities of the Corporation, distribute the remaining assets of the Corporation to such organization or organizations operated exclusively for charitable, educational or recreational non-profit purposes.
